Terms of Service

These Terms of Service ("Terms") are an agreement between you and TDT Support LLC, the operator of the Evoloptis brand and the TDTOS platform ("we," "us," or "our"). By accessing evoloptis.com (the "Site") or using the TDTOS platform (the "Service"), you agree to these Terms.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

TDTOS is an IT operations and intelligence platform providing capabilities that may include support ticketing, asset management, employee onboarding and offboarding, identity and account lifecycle management, integrations with services such as Microsoft 365 and Google Workspace, vendor and service management, dashboards, service and outage intelligence, automation, and AI-assisted operations.

Access to the Service is typically established through an agreement between us and a customer organization. Where a separate signed agreement exists, that agreement controls in the event of a conflict with these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account. Notify us promptly of any unauthorized use.

Accounts may be provisioned and administered by your organization, which may control your access to the Service.

You agree not to:

• Use the Site or Service in violation of applicable law
• Attempt to gain unauthorized access to any systems, accounts, or data
• Interfere with or disrupt the integrity or performance of the Service
• Upload malicious code or use the Service to distribute it
• Use the Service to send unsolicited bulk communications
• Reverse engineer or copy the Service except as permitted by law

As between TDT Support LLC and the customer organization, the customer organization retains its rights in the data it stores in the Service ("Customer Data"). We do not claim ownership of customer operational data. We process Customer Data to provide the Service and as described in our Privacy Policy and any applicable customer agreement.

The Service is designed so Customer Data can be exported. When a customer relationship ends, we will make Customer Data available for export for a reasonable period, as set out in the applicable agreement.

Customers operating in regulated environments are responsible for ensuring their use of the Service complies with the regulations that apply to them; specific regulatory responsibilities are addressed in the applicable customer agreement.

Certain Service features may use artificial intelligence or automated systems to generate suggestions, summaries, classifications, recommended actions, or other outputs. These features are intended to assist users, not replace professional judgment. AI-generated output may be incomplete, inaccurate, or inappropriate for a particular situation. Users and customer organizations are responsible for reviewing outputs before relying on them or taking consequential action based on them.

We may make beta, preview, experimental, or developing features available from time to time. These features may change, be limited, or be discontinued as we improve the Service. Additional terms or limitations may apply to beta or preview functionality.

The Service sends operational and transactional email — such as support ticket confirmations, ticket replies and notifications, and application or account notifications. These communications are part of operating the Service. We do not use purchased, rented, or scraped email lists.

The Site and Service — including software, design, text, and branding — are owned by TDT Support LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service as intended and as permitted under these Terms or an applicable customer agreement.

"Evoloptis" and "TDTOS," and associated logos, are trademarks of TDT Support LLC.

The Service can integrate with third-party services (for example, Microsoft 365 and Google Workspace) at a customer's direction. Those services are governed by their own terms and privacy policies, and we are not responsible for them. Customers are responsible for having the necessary rights to connect third-party services to TDTOS.

THE SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We work hard to make the Service reliable, but we do not guarantee that it will be uninterrupted, error-free, or secure.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TDT SUPPORT LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU (OR YOUR ORGANIZATION) FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS IF NO SUCH PAYMENTS WERE MADE.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

We may suspend or terminate access to the Site or Service for violation of these Terms, to protect the Service or its users, or as required by law. Customers may terminate as described in their applicable agreement. Sections that by their nature should survive termination (including data export, intellectual property, disclaimers, and limitation of liability) survive.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in California, and the parties consent to their jurisdiction.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Waiver. Our failure to enforce a provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, utility or telecommunications failures, or acts of government.

Customer agreements. Where a signed customer agreement between TDT Support LLC and a customer organization conflicts with these public Terms, the signed agreement controls.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the Site or Service after changes take effect constitutes acceptance of the updated Terms.
